Terms of Service

These terms form a binding agreement between you and Jalan Technology Consulting Pvt. Ltd., 2 R 12, RC Vyas Colony, Bhilwara - 311001, Rajasthan, India ("Operate", "we", "us"). By creating an account, deploying the Operate container, or otherwise using the service, you agree to them. If you do not agree, do not use the service.

Operate is a business product intended primarily for organisations and professional users. You must be able to form a binding contract. If you use the service on behalf of an organisation, you confirm that you are authorised to bind that organisation, and "you" means that organisation.

You agree to:

1. provide accurate registration and billing information and keep it current;
2. keep your credentials and App IDs confidential;
3. be responsible for all activity under your account and App IDs;
4. notify us promptly at developer@operatex.dev of any suspected unauthorised access.

You must not:

• use the service unlawfully or in violation of a third party's rights;
• circumvent metering, billing, credit limits, or access controls;
• resell, sublicense, or provide the service to third parties except as permitted in writing;
• reverse engineer the service except to the extent that restriction is unenforceable by law;
• use the service to attack, probe, or disrupt systems you are not authorised to access;
• interfere with the integrity or performance of our infrastructure.

Operate is deployed inside your own infrastructure. You are solely responsible for that environment, including its security, availability, configuration, and the credentials and permissions you grant the container. You confirm you have the right to connect the systems and data sources you connect.

The service can integrate with third-party platforms, including Microsoft Teams, Slack, code hosts, and AI model providers. Those services are provided by their own operators under their own terms, and we are not responsible for their availability, behaviour, or changes to them.

Where you bring your own AI provider, your use of that provider is governed by your agreement with it, including any charges it levies.

You retain all rights in your data, logs, records, and code. We claim no ownership over them. Operate is distributed as a self-hosted Docker image, so investigation data, logs, repositories, databases, and operational data are processed inside your own infrastructure and are not received or processed on our servers.

You grant us a limited licence to process the metering telemetry and account information described in our Privacy Policy, solely to provide, meter, bill, secure, and support the service.

Subject to these terms and your payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable licence to deploy and use the Operate container image and the dashboard for your internal business purposes during your subscription term. Any open-source components distributed with the container remain governed by their own licences, which prevail over these terms in respect of those components.

We and our licensors retain all rights in the service, the container image, the website, and all related software, documentation, and trademarks. Nothing in these terms transfers those rights to you.

If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free licence to use it without restriction or obligation to you. Feedback is provided voluntarily and is not confidential.

1. Usage is metered and drawn from a prepaid credit balance, and subscription fees are charged for the applicable billing period.
2. Where you enable automatic recharge or automatic renewal, you authorise us to charge your saved payment method for those amounts on the terms shown at the time you enable them.
3. Manual top-up and manual renewal remain available and can be used if an automatic charge fails.
4. If a subscription payment fails or a balance is exhausted, the service may be suspended until it is resolved.
5. Fees are exclusive of taxes. You are responsible for all applicable taxes other than taxes on our income.
6. Refunds: monthly subscription payments are non-refundable once paid, including where you cancel before the end of the billing cycle. Prepaid usage credits are refundable to the extent of any unused balance; credits already consumed are not refundable.

We aim to keep our hosted components available but do not commit to a service level unless a separate written agreement provides one. Because the Operate container runs in your infrastructure, its availability depends on your environment. We may perform maintenance and may change or discontinue features, with reasonable notice for material changes.

Features marked beta, preview, or experimental are provided as-is, may change or be withdrawn without notice, and are excluded from any commitment or service level. Do not rely on them for production workloads.

We are responsible for the security of the components we host. You are responsible for the security of your deployment, your systems, your credentials, and your users' access. Report a suspected vulnerability to developer@operatex.dev.

Each party may receive non-public information from the other. The receiving party will use it only to perform under these terms, protect it with at least reasonable care, and not disclose it except to personnel and advisers bound by similar obligations, or where legally compelled. This does not apply to information that is public, independently developed, or lawfully received from a third party.

Except as expressly stated in these terms, the service is provided "as is" and "as available", and we disclaim all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that any AI-generated output will be accurate, complete, or suitable for a given purpose. You are responsible for reviewing output before acting on it.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, loss of goodwill, loss of data, or business interruption, arising out of or relating to these terms, whether in contract, tort, or otherwise, even if advised of the possibility of such damages. Each party's liability is otherwise limited to the maximum extent permitted by applicable law. Nothing in these terms limits liability that cannot be limited by law.

You will defend and indemnify us against third-party claims arising from your use of the service in breach of these terms, your data, or your connected systems, and from any losses and reasonable legal costs awarded or agreed in settlement.

We may suspend your access, in whole or in part, if payment is overdue, your balance is exhausted, your use threatens the security or integrity of the service, or the law requires it. Where practical we will give notice and an opportunity to resolve the issue.

You may stop using the service and cancel your subscription at any time from the dashboard. We may terminate for material breach that is not cured within thirty days of notice, or immediately where the breach cannot be cured.

On termination:

1. your licence to use the service ends and you must stop running the container image;
2. accrued fees remain payable;
3. we will delete or anonymise your account data in line with our Privacy Policy, except records we must retain;
4. provisions that by their nature should survive — ownership, confidentiality, disclaimers, liability, indemnities, and governing law — survive.

Any unused prepaid credit balance remaining on termination is refundable in line with the refund terms above; consumed credits and paid subscription fees are not refundable.

These terms are governed by the laws applicable in Rajasthan, India, without regard to conflict-of-law rules.

The parties will first attempt to resolve any dispute informally and in good faith by contacting developer@operatex.dev. If the dispute is not resolved that way, it will be subject to the exclusive jurisdiction of the competent courts located in Rajasthan, India.

We may update these terms. The effective and last-updated dates at the top of this page will change, and we will notify account holders of material changes by email or in-product notice before they take effect. Continued use after that date constitutes acceptance.

We will send notices to the email address on your account. You may send notices to developer@operatex.dev or to Jalan Technology Consulting Pvt. Ltd., 2 R 12, RC Vyas Colony, Bhilwara - 311001, Rajasthan, India. Notices are effective when sent, or when received if by post.

These terms, together with the Privacy Policy, are the entire agreement between the parties on this subject. If a provision is held unenforceable, the rest remains in effect. Neither party's failure to enforce a provision is a waiver. You may not assign these terms without our written consent; we may assign them in connection with a merger or sale of assets.
